1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Snowvault Pty Ltd ("Snowvault", "we", "us", or "our") governing your access to and use of the snowvault.com website and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Snowvault provides an AI-powered platform designed for Engineering, Procurement and Construction (EPC) organisations. Our Services enable businesses to produce structured, auditable work artefacts through workflows, specialist agents and actions.

Access to the Snowvault platform is provided under separate subscription or service agreements. These Terms govern your use of our website and general interactions with Snowvault.

3. Eligibility

Our Services are intended for business use. By using our Services, you represent that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • If acting on behalf of an organisation, you have authority to bind that organisation to these Terms

4. User Conduct

When using our Services, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including intellectual property rights
  • Transmit any malicious code, viruses or harmful data
  • Attempt to gain unauthorised access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our Services
  • Use our Services for any unlawful or fraudulent purpose
  • Collect or harvest information about other users without consent

5. Intellectual Property

Our Intellectual Property

The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by Snowvault or our licensors and are protected by Australian and international intellectual property laws.

Your Content

You retain ownership of any content you submit through our Services. By submitting content, you grant us a limited licence to use that content solely for the purpose of providing our Services to you.

6. Confidentiality

We understand that our customers may share confidential business information with us. We treat all Customer Data as confidential and will not disclose it to third parties except as necessary to provide our Services or as required by law.

Specific confidentiality obligations are set out in our service agreements with customers.

7. Disclaimers

To the maximum extent permitted by law:

  • Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We do not warrant that our Services will be uninterrupted, error-free, or secure
  • We do not warrant that the results obtained from use of our Services will be accurate or reliable
  • Any content or outputs generated through our Services should be reviewed by qualified professionals before use

Nothing in these Terms excludes or limits any consumer guarantees or rights that cannot be excluded under Australian Consumer Law.

8. Limitation of Liability

To the maximum extent permitted by law, Snowvault and its directors, employees, agents and affiliates will not be liable for:

  • Any indirect, incidental, special, consequential or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use of or inability to use our Services

Our total liability for any claims arising from these Terms or your use of our Services will not exceed the amounts paid by you to Snowvault in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend and hold harmless Snowvault and its directors, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses (including legal fees) arising out of or in connection with:

  • Your breach of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Any content you submit through our Services

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Upon termination, your right to use our Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Western Australia, Australia. You agree to submit to the exclusive jurisdiction of the courts of Western Australia for any disputes arising from or relating to these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our Services after any changes constitutes acceptance of the updated Terms.

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Snowvault regarding your use of our website.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
